About Us

Who are NED Legal?

We help legal, safety and compliance consultancies ensure the playing fields are level. We understand competitive dynamics, M&A, business models and how hard economics drives your market. We offer the best market intelligence to all the players in the market – especially those betting their mortgage on it.

We’re not lawyers. We’re not accountants, or IFAs. We’re experienced line directors with unrivalled experience of organic and acquisitive growth in these B2B compliance markets.

The company was founded by David Johnston 20 years ago:

“We map these legal and compliance markets in ways no-one else can. Segmentations here are critical as industry rivalry is the dominant factor. Lawyers compete with consultancies who compete with surveyors who compete with software developers who compete with insurers who compete with trainers – there’s everything here from bankers to bookies. In a massive game of scissors/paper/stone like this, you need the best intel there is. That’s the confidence we can bring.”

The building blocks

David has worked at board level for Thomson Reuters, Wolters Kluwer/Croner, CCH, NatBrit, and the Practical Law Company (and is now CEO of RBP). He has taken teams from start-up to £2/3/4m, taken £2-4m teams to £65m (three times; twice organically), and £65m to £120m+. He has decades of experience as a strong operational executive director, MD and CEO in legal and compliance services businesses.

Uniquely he has built and run content, computing, and consulting businesses. He has managed both organic and acquisitive growth in consolidated, mature, new, and fragmented markets.

He also has unrivalled experience as a ‘buy-side’ specialist in M&A, having negotiated as principal the most deals in legal services content, computing and consulting businesses in the UK.

A New Type of Non-Exec

All the Boards we’ve worked with have valued the independence, honesty and insight we bring. It is based on the best market intelligence – the maps of how the markets really work. We don’t dabble and move on – we’ve been transforming and tracking these markets for over 35 years.

The M&A world will tell you the DCFs, econometrics, funding, etc are the hard part. They really aren’t. They’re as hard as you let the ‘suits’ make them.

The result is NED Legal.

Our service is designed to ensure

(a) owner managers don’t have to risk diluting equity,

(b) you don’t have to run through the costs of new or adjusting shareholder agreements, and

(c) you can get ahead of the curve with better intel than the competitors, buyers and sellers in the market.

You have nothing to lose.

We’re here to help.

"If it's free - you're the product. (especially if it's lunch)".
We tell it straight.
